Company Description

CAMALCO S.A. is a Cameroonian mining company and the local subsidiary of Canyon Resources Limited, focused on the development of the Minim-Martap Bauxite Project in the Adamawa Region of Cameroon.

The company is leading one of the world’s high-grade bauxite development projects, with activities covering mining, rail transportation, port logistics, and related infrastructure development. CAMALCO’s objective is to position Cameroon as a major supplier of bauxite for the global aluminum industry while contributing to local economic growth and industrialization.

Position summary :

The Legal Counsel ensures the legal security of the company’s operations across the entire value chain. Reporting to the CEO/CAMALCO he/she advises the leadership team in decision-making, oversees corporate affairs, contractual and regulatory matters, ensures compliance with applicable legal frameworks, anticipates risks, and actively contributes to responsible governance and the long-term reputation of the company in a complex, multi-stakeholder environment.

Key Accountabilities :

Advise the CEO on all strategic and operational legal matters. Draft, review, and negotiate complex contracts related to mining operations, infrastructure, and partnerships. Conduct continuous legal monitoring in mining, commercial, labor, tax, environmental, and regulatory matters. Ensure full legal and regulatory compliance of the company’s operations. Manage litigation and pre-litigation matters in coordination with external law firms and relevant authorities. Support internal teams in contract negotiations and resolution of operational legal issues. Develop and implement legal risk management and contractual governance policies. Oversee the company’s legal secretariat and corporate governance obligations. Train and raise awareness among managers and employees on legal and compliance requirements. Represent the company before administrative, regulatory, and judicial authorities, as well as institutional committees. Perform any other related duties as assigned by Management.

Skills, Knowledge and Experience

Master’s degree (or equivalent) in Business Law, Mining Law, Public Law, or International Law. 12-15 years of experience acquired in a renowned law firm or in a similar in-house position within an industrial company. Strong knowledge of contract law, mining law, labor law, fiscal law, corporate law, litigation, infrastructure law, environmental law and other relevant laws. Fluency in both French and English, written and spoken. Proven ability to negotiate, secure, and structure complex agreements. Autonomy, integrity, rigor, responsiveness, analytical thinking, and influential leadership. Strong adaptability to demanding, multicultural, and multi-stakeholder environments.
