Position summary – purpose The Legal Counsel ensures the legal security of the company’s operations across the entire value chain. Reporting to the CEO of the Company, he/she advises the leadership team in decision-making, oversees corporate affairs, contractual and regulatory matters, ensures compliance with applicable legal frameworks, anticipates risks, and actively contributes to responsible governance and the long-term reputation of the company in a complex, multistakeholder environment. Key Accountabilities or Responsibilities Advise the CEO on all strategic and operational legal matters. Draft, review, and negotiate complex contracts: EPC, mining conventions, transport agreements, co-development contracts, subcontracting agreements, community agreements. Conduct regular and structured legal monitoring in the following areas: mining law, business law, labor law, environmental law, taxation, public procurement law, etc. Ensure compliance of operations with local, regional, and international regulations, including permits, authorizations. Manage litigation and pre-litigation: liaising with law firms, handling social, commercial, land, and institutional disputes.
