Candidate profile

Industry: Construction, infrastructure and services Main duty As part of the strengthening of its Group functions and its pan-African development, RMO recruits a Group Legal Director F/H on behalf of a client. Member of the Executive Committee, you define and manage the Group’s legal strategy. A true partner of the General Management and operational departments, you secure strategic decisions, contracts and projects of the head office and subsidiaries, while supporting the development of activities in the different countries of establishment. You contribute to controlling legal risks, structuring governance and securing the Group’s growth operations. Tasks

• 1. Defining the legal strategy and advising leaders Define and deploy the Group’s legal policy to the various subsidiaries. Advise the General Management and operational departments on legal issues related to strategic decisions. Anticipate legal and regulatory developments in the host countries and propose appropriate solutions. Support relations with administrations, regulatory authorities and institutional partners on strategic legal issues.
• 2. Securing contracts and supporting projects Manage the negotiation, drafting, validation and monitoring of complex and strategic contracts. Secure tenders, public and private contracts, works contracts, partnerships, concessions and PPPs. Support operational teams in the execution of projects: endorsements, claims, guarantees, penalties and contractual closure. Bring your expertise on major works and infrastructure contracts, including EPC, Design & Build and FIDIC standards.
• 3. Overseeing corporate law and governance Oversee the legal life of Group companies, in accordance with OHADA law and applicable national laws. Secure capital transactions, internal restructurings and statutory changes. Accompany the preparation of boards of directors and general meetings. Ensure compliance of delegation of authority, approval channels and legal obligations of subsidiaries.
• 4. Supporting growth operations and financing Manage the legal aspects of acquisitions, divestitures, mergers, equity investments and joint ventures. Coordinate legal audits and secure transactional documentation. Support corporate and project financing, fundraising and the implementation of guarantees. Contribute to the legal structuring and security of the Group’s strategic partnerships.
• 5. Manage litigation, compliance and legal risks Define strategies for the prevention and management of pre-litigation, litigation and arbitration. Oversee sensitive files related to lawyers and external advice. Deploy a mapping of legal risks and ensure regular reporting to the General Management. Contribute to compliance, including business ethics, corruption prevention and data protection.
• 6. Managing and developing the Group legal function Lead and develop the headquarters legal team, composed of more than 10 employees, and coordinate the legal relays of subsidiaries. Define priorities, procedures, contractual models and validation circuits. Manage the legal budget and optimize the use of external advice. Develop tools for contract management, litigation and legal documentation, integrating relevant digitalization solutions. Profile of the Candidate Your profile You hold a Master 2 / Bac+5 in business law, contract law, company law or international business law.

Experience

You have at least 15 years of relevant professional experience, including significant experience as a Legal Director, Deputy Legal Director or equivalent in a structured group. You have solid expertise in business law, OHADA law, contract law and corporate governance. You master complex and international contracts, large infrastructure projects, EPC, PPP, concessions, project finance and FIDIC standards. You have a proven experience in legal team management and executive coaching. Experience in construction, infrastructure or large projects is highly sought after. A career in a leading law firm is also an asset. You master M&A operations, partnerships, financing and litigation and arbitration management. You are fluent in French and have a very good professional level in English, both orally and in writing. You are available to make regular trips in the Group’s countries of establishment.
