Responsabilités
AB Bank is seeking qualified candidates to assume the role of Head of Legal and Company Secretary. You will be responsible for fulfilling a variety of duties, including: Act as the primary governance consultant to the Board, providing expert guidance on corporate governance principles, directors’ responsibilities, relevant legal frameworks, regulatory obligations, and established governance standards. The Bank’s corporate governance framework is maintained by the Custodian, who is responsible for upholding high standards of governance, ethical behavior, and integrity in the Board’s decision-making processes. Oversee the development, maintenance, and periodic review of Board governance documents—such as Board and Committee Charters, governance policies, and related materials—ensuring they remain up to date and fully compliant with legal, regulatory, and industry best practice standards. Deliver well-reasoned legal counsel, foresee potential risks, and synchronize legal strategies with organizational goals. Minimum Qualifications and Competencies: Senior leadership roles within a legal department require extensive experience, particularly in providing strategic guidance to Executive Management and the Board of Directors. Seasoned professional with profound expertise in corporate governance and Company Secretarial functions within a strictly regulated setting. Proficiency in banking regulation, legal risk management, and regulatory compliance is essential. Demonstrated expertise in handling litigation, contract management, and legal advisory services, particularly in employment and Labour-related issues. Professional Version: A minimum of five years of professional experience within a regulated setting, ideally within a financial institution, is required. Proficient expertise in corporate law, contract law, regulatory compliance, and dispute resolution is required. A law degree from a recognized university is required, along with mandatory ZARA certification. Admitted to the Zambian Bar is a mandatory requirement.
