Legal Counsel (2 Position(s)) Job Location : Head Office Job Purpose: Expert legal support is provided by analyzing and addressing all credit-related matters through the preparation, evaluation, and issuance of legal opinions, ensuring strategic guidance that safeguards the bank’s business units against potential risks. Main Responsibilities: Draft, review, and prepare security-related documents and lending contracts with meticulous attention to legal precision and adherence to regulatory standards to ensure full compliance and soundness. Oversee the registration process for security documents with appropriate regulatory bodies, ensuring all filings are completed promptly to perfect securities in a timely manner. Maintain meticulous records and tracking systems for all registered securities, ensuring precision and completeness. Additionally, generate periodic and ad hoc extract reports as mandated by organizational or regulatory requirements. Deliver accurate and timely legal counsel to business units, branches, and internal credit committees, ensuring decisions are supported by thorough analysis and sound reasoning. Provide legal assistance to the Legal Manager or Senior Manager in managing high-value transactions and ensuring adherence to regulatory standards, thereby protecting the bank’s interests while fostering business expansion through diligent legal counsel and forward-thinking risk mitigation strategies. Provide counsel on potential legal risks and propose strategies to mitigate them in lending transactions. Confirm and validate the arrival of security documents submitted for secure storage. Ensure the accurate organization, secure storage, and timely retrieval of security documents in accordance with established internal policies. To collaborate with branches, external legal representatives, and internal teams, ensuring the resolution of outstanding matters that may delay the registration of securities, alongside addressing post-registration obligations and maintaining secure custody of all security documents. Respond to internal stakeholder inquiries in a timely and efficient manner. Responsibilities include verifying and maintaining the legal status of security documentation, ensuring its perfection through collaboration with internal stakeholders. Facilitate the release of security documentation upon loan settlement and oversee transfers executed under power of sale, ensuring strict adherence to internal mandates and applicable legal standards. Prepare regular and special reports on documentation status, compliance status, the tasks executed by the Unit, and any risk-related matters as instructed by the Head of Legal or Senior Manager. Support audits and regulatory inspections by ensuring the prompt and precise preparation of required documentation and records. Prepare legal documents such as court pleadings and advocate on behalf of the bank in judicial proceedings before courts and tribunals. Stay updated on evolving regulatory frameworks and industry best practices, and provide the bank with strategic guidance on necessary actions to implement these changes effectively. Handle ad hoc assignments and bespoke initiatives delegated by the Head of Legal or Directorate to advance the strategic goals of the Legal Directorate. Knowledge and Skills: Demonstrates a comprehensive grasp of banking regulations, commercial laws, corporate lending practices, and compliance standards governing loan transactions, security arrangements, and transactional documentation. Experienced in preparing, examining, and analyzing lending-related legal documents, with a keen focus on precision and meticulous review. Demonstrates a keen capacity to assess legal risks within credit processes and propose effective litigants, enabling well-informed business decisions. Proficient in delivering prompt, pragmatic, and commercially viable legal counsel on credit, lending, and security matters, with a strong emphasis on mitigating legal and regulatory risks. Accomplished professionals with a proven track record in managing diverse responsibilities concurrently while thriving in dynamic, team-oriented, and high-pressure settings. Skilled in fostering strong relationships with key stakeholders, the ideal candidate will adeptly collaborate with both internal teams and external partners to ensure seamless communication and alignment.

- Must be enrolled as an Advocate A master’s degree in law or business studies is highly desirable. A minimum of three years of experience in a fast-paced commercial legal environment is required.
